Terms of Service
The working agreement behind Spanstead Works.
Updated September 12, 2026. These terms cover business use of spanstead.com and the Spanstead Works software, including its office, crew, and customer experiences.
1. Who these terms are between
These Terms of Service are between Spanstead LLC ("Spanstead," "we," or "us") and the business or organization using Spanstead Works ("Customer" or "you"). Spanstead Works is offered for business use, not personal or household use.
The person accepting these terms represents that they are at least 18 years old and have authority to bind the Customer. Invited users must follow the acceptable-use requirements below but do not independently bind the Customer.
2. The service
Spanstead Works is a connected business-operations platform for customers, scheduling, jobs, field work, estimates, invoices, payments, inventory, communications, and other modules made available under the Customer's plan. Features may differ by plan and configuration.
Spanstead Works supports business operations, but it is not legal, tax, payroll, accounting, employment, or regulatory advice. Customer remains responsible for its business decisions and compliance obligations.
3. Accounts and authorized users
Customer is responsible for its account, its users, and all activity performed with their credentials. Logins are named and personal and may not be shared. Customer must keep credentials secure, use available security controls, and promptly remove access when a user no longer needs it.
Suspected unauthorized access should be reported to admin@spanstead.com as soon as possible.
4. Paid pilot, plans, and payment
Pilot access is by invitation following an application and a discussion with Spanstead. Applying does not create an account, start a subscription, or authorize a charge. No payment card is required to apply. Pilot participation is paid; the scope, duration, onboarding, price, and billing schedule are agreed in writing before enrollment.
Current plan prices, included seats, additional-seat rates, billing frequency, and any add-ons are disclosed on the pricing page and again at enrollment or checkout. Fees are in US dollars and exclude applicable taxes. Subscriptions renew automatically at the disclosed monthly or annual frequency until cancelled. Seat changes take effect on the next invoice unless checkout or an order form states otherwise.
5. Cancellation and refunds
Customer may cancel through the available online account controls. Cancellation takes effect at the end of the current paid period, and access continues through that date. Pilot cancellation and any renewal terms are disclosed in the pilot order form before enrollment.
Removing Learning & Compliance ends new course authoring, assignments, attempts, acknowledgments, reminders, renewals, and automation. Existing courses, versions, assignments, attempts, completions, and reports remain available in read-only historical-evidence mode while the underlying Spanstead Works account remains available.
Refund eligibility, if any, is the policy disclosed at checkout or in the applicable order form. Nothing in these terms limits a refund or remedy required by law.
6. Licence and ownership
During an active subscription, Spanstead grants Customer a limited, non-exclusive, non-transferable right to use the service for its internal business operations. Spanstead and its licensors retain all rights in the software, design, documentation, trademarks, and other service materials.
Customer may not resell or sublicense the service, reverse engineer it except where law expressly permits, remove proprietary notices, circumvent plan or access controls, or use the service to build a competing product.
7. Customer data
Customer retains ownership of the information, files, and records it submits to the service. Customer authorizes Spanstead to host, process, transmit, back up, and display that data only as needed to provide, secure, support, and improve the service or comply with law.
Customer is responsible for having the rights and notices required to collect and use information about its customers and workers, including any consent required for marketing messages, timekeeping, or location-related features. Spanstead does not sell Customer data or use it to train machine-learning models. Personal information is also handled under the Privacy Policy and any applicable data processing agreement.
8. Restricted data
Customer must not upload Social Security numbers, bank-account credentials, biometric identifiers, raw payment-card numbers, or medical records except through a feature specifically designed and documented to receive that category. A general file upload or custom field is not permission to store restricted data.
9. Acceptable use
Customer and its users must not use the service to:
- break the law, infringe another person's rights, or facilitate unlawful conduct;
- send communications without required consent or ignore an opt-out;
- upload malware or probe, attack, disrupt, or overload the service;
- access another organization's data or exceed an assigned role;
- falsify time, location, payment, or audit records;
- harass another person or store content Customer has no right to hold.
10. Third-party services
Integrations with services such as payment processors, accounting platforms, messaging providers, or marketplaces are governed by those providers' terms. Customer authorizes Spanstead to exchange the information needed for a connected integration. Spanstead is not responsible for a third party's service, pricing, availability, or handling of data.
11. Security, availability, and changes
Spanstead uses reasonable administrative, technical, and organizational safeguards to protect the service. No system is completely secure or uninterrupted, and Customer should retain exports or other copies of records it cannot afford to lose.
Spanstead may update, improve, replace, or discontinue features. Any contractual uptime or support commitment applies only when stated in the Customer's plan or order form.
12. Suspension and termination
Spanstead may suspend access when reasonably necessary to protect the service or its users, respond to suspected compromise or unlawful use, address non-payment, or prevent material harm. Where practical, Spanstead will provide notice and an opportunity to correct a fixable breach.
Either party may terminate for a material breach that remains uncured after written notice. Data access, export, retention, and deletion after termination will follow the applicable order form, privacy commitments, and product controls available at that time.
13. Confidentiality
Each party may receive non-public information from the other. Each party will use that information only for the relationship, protect it with reasonable care, and disclose it only to people who need it and are required to protect it, unless disclosure is required by law.
14. Warranties and disclaimers
Spanstead warrants that it has the right to provide the service and will perform its obligations with reasonable skill and care. Except for an express commitment in an order form, the service is provided "as is" and "as available." To the extent allowed by law, Spanstead disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
15. Limitation of liability
To the extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, or data. Spanstead's total liability arising from the service will not exceed the fees Customer paid Spanstead during the 12 months before the event giving rise to the claim. Any exclusions or exceptions required by law continue to apply.
16. Governing law and disputes
These terms are governed by Kansas law, without regard to conflict-of-law rules. Before filing a claim, each party will give the other written notice and 30 days to attempt a good-faith resolution. The final venue and dispute procedure remain subject to counsel approval before these terms become effective.
17. Changes to these terms
Spanstead may update these terms as the service or law changes. Material changes will be identified by a new effective date and presented for acceptance when required. The terms accepted for a current paid period will not be changed retroactively.
